The following document outlines the terms of use of the SociallyGood website.
Before using any SociallyGood services, you must read, understand and agree to these terms.

Agreement


For good and valuable consideration, the receipt and sufficiency of which each party acknowledges, the parties hereby agree as follows:

1. Membership

You do not have to be a member of the Site to enjoy some of the features of the Site. In particular, the Site users who are not members may view some of the content on the Site as long as they comply with our standards of conduct. However, members receive additional benefits, subject to our standards of conduct from time-to-time. We may change the benefits, features and levels of membership from time-to-time by sending you an email or by posting the changes on the Site. Our provision of the above benefits to you, including the Marketplace and all other services we provide on the Site, are collectively the “Services”. SociallyGood may use third parties to provide some or all of the Services. The Services may be provided using servers and other equipment located in any country including India, the United States and elsewhere.


2. Eligibility

By registering as a member you represent and warrant to us that:
You are an individual who can form a legally binding contract at law.


3. Minors

You must be at least 8 years old to use SociallyGood. Parental guidance is advised for minors using the app.

4. Account, Username and Password

(a) You must select a unique username for your account. You must not use a username that is, in our sole discretion, vulgar, offensive, defamatory, obscene, hateful or otherwise unlawful or objectionable. We may modify user names as we see fit.
(b) You must keep your password secure and confidential.
(c) You are solely responsible and liable for all activity conducted through your account. If you become aware of or reasonably suspect any security breach, including any loss, theft or unauthorized disclosure or use of your password, you must immediately report the actual or suspected security breach to us by contacting us.
(d) All information you provide to us must be true, complete and current, and you must update this information as necessary to keep it true, complete and current.


5. Access and Use of Services

You may only access the Services through the interface provided on the Site. Also, you may only use the Services for your own purposes, and you must not resell, transfer or otherwise provide any of the Services to any third party.


6. Privacy Policy

Sociallygood.com the marketplace is owned and operated by Soczen Technologies Private Ltd. At Soczen we value your privacy and trust and work hard to earn and keep it. Sociallygood is committed to maintaining the security, confidentiality and privacy of your personal information. This document describes our general privacy policies. This document will describe the policies of how we collect information when an user engages the marketplace, how we use and share the information we collect, and how we protect user privacy. It is important to note that this privacy policy applies only to Personal Information collected through the marketplace site and does not apply to Personal Information obtained or used by SociallyGood through other means. Scope of Privacy Policy

This policy applies to personal information about individuals and does not apply to the information collected, used or disclosed with respect to corporate or commercial entities. This policy does not impose any limits on our collection, use or disclosure of the information exempted under applicable privacy legislation, including business contact information and certain publicly available information.

Sociallygood may collect various information from you, including your name, address, phone number, e-mail address, payment mode details, preferred means of communication, your interaction with our website, social media sites and mobile applications (including information such as IP addresses, browser type, language, access times, referring website, etc.) and other information you provide to us.
We collect, use and disclose your personal information for the following purposes:

1. to allow us to communicate with you (including through the use of commercial electronic messages);


2. to customize the advertising and content that is presented to you on our website;


3. to contact you regarding any orders you place through our website, and to help process, deliver and take payment for those orders;


4. to verify your personal information;


5. to operate, customize and improve our website, social media sites, mobile applications, advertisements, products and services;


6. to allow you to use portions of our website such as our forums;


7. to allow you to participate in our contests, and to administer those contests;


8. to monitor your compliance with any of your agreements with us;


9. to administer our provision of, and your payment for, products or services you request from us;


10. to provide newsletters, electronic messages and information you request from us;


11. to provide other information to you regarding our products and services or third party products and services, unless you opt out of receiving that information;


12. to manage or transfer our assets or liabilities, for example in the case of an acquisition, disposition or merger;


13. to protect us, yourself and others from fraud and error and to safeguard our business interests;


14. to collect debts owed to us;


15. to comply with legal and regulatory requirements; and


16. for other purposes we may inform you about from time-to-time.


If you create a profile on SociallyGood, your Facebook username and your Facebook profile picture (if you register with Facebook), or your Google+ username and Google+ picture (if you register with Google+) will be displayed on this Website. These can only be removed by withdrawing your profile. In case someone is getting in touch with representatives/points-of-contact of any innovative solution profiled on SociallyGood, with collaborative or inquisitive motives, a copy of the message gets transmitted to SociallyGood, in order to facilitate the dialogue, generate prompt responses and manage situations where the innovator is away/has been unresponsive. When you Donate, Volunteer for a project or participate in any events being held by the NGOs registered with SociallyGood, your username and profile picture, may be publicly displayed on the Website. You may choose not to display these and contribute anonymously. We will not share the personal information we collect from you through the Website with third parties or the recipient of funds, except as described in this Privacy Policy or on the Website. We may also share your information as disclosed at the time you provide your information, as set forth in this Privacy Policy, and in the following circumstances:

We may transfer your personal information across provincial or national borders to fulfil any of the above purposes (including both the necessary and the optional purposes), including to service providers located in India and other jurisdictions outside of India who may be subject to applicable disclosure laws in those jurisdictions.

When your personal information is to be used for a purpose not previously identified, the new purpose will be disclosed to you prior to such use, and your consent will be sought unless the use is authorized or required by law.

We may work with other companies to provide services on our behalf, such as website hosting services, payment processing services and product delivery services. Those service providers will be permitted to obtain only the personal information they need to deliver the service in question, and they will be required to maintain the confidentiality of that information.


6. Cookies

Certain non-personal information about the Website visits is recorded by the standard operation of the Internet servers on which the Website is hosted. The non-personal information that we collect may include IP addresses, the type of operating system in use (e.g., Macintosh or Windows), the type of browser being used by the visitor (e.g., Firefox or Internet Explorer), the number and frequency of visitors to the Website, the website the visitor was on immediately before visiting the Website, and standard web log information, such as connection information, statistics on page views, traffic to and from the Website, and ad data. This site uses Google Analytics which are the most widespread and trusted analytics solution on the web for helping us to understand how you use the site and ways that we can improve your experience. Hopefully that has clarified things for you and as was previously mentioned if there is something that you aren't sure whether you need or not it's usually safer to leave cookies enabled in case it does interact with one of the features you use on our site. 8. Consent

We will not sell or rent your personal information to third parties, and we will obtain your consent to collect, use or disclose personal information except where we are authorized or required by law to do so without consent. For example, we may collect, use or disclose personal information without your knowledge or consent where:

1. the information is publicly available, as defined by statute or regulation;
2. we are obtaining legal advice;
3. we reasonably expect that obtaining consent would compromise an investigation or proceeding;
4. Other exceptions may apply;
Your consent can be express, implied or given through an authorized representative such as a lawyer, agent or broker.

Consent may be provided orally, in writing, electronically, through inaction (such as when you fail to notify us that you do not wish your personal information collected/used/disclosed for various purposes after you have received notice of those purposes) or otherwise.

You may withdraw consent at any time, subject to legal, contractual and other restrictions, provided that you give reasonable notice of withdrawal of consent to us. On receipt of notice of withdrawal of consent, we will inform you of the likely consequences of the withdrawal of consent, which may include our inability to provide certain services for which that information is necessary.

Any material, information or other communication (including questions, comments and suggestions) you transmit to us through our website, social media sites or other online sites, or mobile applications will be considered non-confidential and non-proprietary. We may forward your communications and other personal information to any of our offices or affiliates throughout the world in connection with any products or services you request, or in connection with any communications you wish to have with us, and you consent to us doing so.


9. Your Agreement To Have Your Personal Information Shared

While on our Website, you may have the opportunity to opt-in to receive information and/or marketing offers from someone else or to otherwise consent to the sharing of your information with a third party. If you agree to have your personal information shared, your personal information will be disclosed to the third party and the personal information you disclose will be subject to the privacy policy and business practices of that third party.


10. How You Can Access, Review, or Change Your Personal Information

You can see, review, and change your personal information by logging into your account, clicking on the "My Karma" tab, clicking the “Edit” button (Pencil). You must promptly update your personal information if it changes or is inaccurate.

To terminate your account, click on the “My Karma” tab. At the top of the Karma Profile, you would see the display card showing your name and mail Id. Click on the “View” button to display the full set of details. Click on the “Edit” button (Pencil icon). Click on “Delete Account” to delete the account and erase all the personal profile data that you provided.

Note that we do retain information from terminated accounts to comply with law, prevent fraud, resolve disputes, troubleshoot problems, assist with any investigations, enforce our site policies, and take other actions permitted by law. Some or all of your data may still be visible to others, including without limitation any data that has been

(a) copied, stored, or disseminated by other users (including comments on content);
(b) shared or disseminated by you or others (including in your shared content); or
(c) posted to a third-party platform. Third-party platforms may have their own privacy policies or no policy at all. Third-party sites might use personal information differently than our policy permits. We strongly encourage you to review the privacy policies of any site before providing any personal information.


11. Limits on Collection

We will not collect information indiscriminately and will limit collection of information to that which is reasonable and necessary for the above purposes. We will also collect information as is otherwise authorized by law.


12. Limits on Using, Disclosing and Retaining Personal Information

We will only use and disclose your personal information for the purposes set out above and as authorized by law. We will keep personal information used to make a decision affecting you for at least one year after using it to make the decision, unless otherwise permitted or required by law.
We will destroy, erase or make anonymous documents or other records containing personal information as soon as it is reasonable to assume that the original purpose is no longer being served by retention of the information and retention is no longer necessary for legal or business purposes. We will take due care when destroying personal information so as to prevent unauthorized access to the information.


13. Accuracy

We will make a reasonable effort to ensure that personal information we are using or disclosing is accurate and complete. In some cases, we rely on you to ensure that certain information, such as your address or telephone number, is current, complete and accurate. If you demonstrate the inaccuracy or incompleteness of personal information, we will amend the information as required. If appropriate, we will send the amended information to third parties to whom the information has been disclosed. When a challenge regarding the accuracy of personal information is not resolved to your satisfaction, we will annotate the personal information under its control with a note that the correction was requested but not made.


14. Safeguards

We protect the personal information in our custody or control by making reasonable security arrangements to prevent unauthorized access, collection, use, disclosure, copying, modification, disposal or similar risks. A combination of encryption techniques and authentication procedures is used to maintain the security of your online session and to protect your account and our systems from unauthorized access. All of our employees and our independent contractors/agents must abide by this Privacy Policy. Only our authorized employees are permitted to have access to personally identifiable data about registered users, and that access is limited to what is reasonably needed to perform an employees responsibilities, such as providing updates or notices or customer service. However, third parties may unlawfully intercept or access transmissions or private communications, and may abuse or misuse your personal information that they collect or have unauthorized access to. Therefore, although we work very hard to protect your privacy, we do not promise, and you should not expect, that your personal information or private communications will always remain private. Our databases are protected from general employee access both physically and logically. We encrypt your account password and login credentials so that your password cannot be recovered, even by us.

We will take reasonable steps, through contractual or other reasonable means, to ensure that a comparable level of personal information protection is implemented by the suppliers and agents who assist in providing services to you. However, confidentiality and security are not assured when information is transmitted electronically.


15. Providing Access

Upon written request and authentication of identity, we will provide you with your other personal information under our control, information about the ways in which that information is being used and a description of the individuals and organizations to whom that information has been disclosed. We will make the information available within 30 days or provide written notice where additional time is required to fulfil the request. In some situations we may not be able to provide access to certain personal information. This may be the case where, for example, disclosure would reveal personal information about another individual, the personal information is protected by solicitor/client privilege, the information was collected for the purpose of an investigation or where disclosure of the information would reveal confidential commercial information that, if disclosed, could harm our competitive position. We may also be prevented by law from providing access to certain personal information. Where an access request is refused, we will notify you in writing, document the reasons for refusal and outline further steps which are available to you.


16. Links to other Websites

We will make a reasonable effort to ensure that personal information we are using or disclosing is accurate and complete. In some cases, we rely on you to ensure that certain information, such as your address or telephone number, is current, complete and accurate. 17. Payment

Many portions of the Site are free to use. However, if you wish to use any of the premium services or donate, you may pay through the payment options made available on the Site. You must comply with the terms of all agreements between you and any third-party payment processors, and if you have any disputes regarding the processing of your payment you must deal directly with those third parties to resolve the disputes.


18. Taxes

You are solely responsible and liable for imposing, collecting, reporting and remitting to the relevant authorities, in a timely and proper manner, all applicable sales, use, value-added, property, excise, import, foreign, withhold and other taxes, duties, charges, levies, fees, excises, tariffs, and assessments of any nature whatsoever imposed, arising from, connect with and relating to your sales through the Marketplace and the payments you receive for those sales. Sociallygood does not and will not provide any advice regarding your tax obligations. If you are uncertain about your tax obligations you should obtain advice from a professional tax advisor or your local tax office.


19. Rules

Whenever you access, use or otherwise deal with the Services, you must comply with all:

(a) applicable laws;
(b) acceptable-use policies and other policies implemented by Sociallygood with respect to the the Site or the Services from time-to-time, as posted on SociallyGood’s website; and
(c) other rules and policies or procedures that Sociallygood communicates to you from time-to-time.


20. Ownership

As between you and Sociallygood, you will retain ownership of all original text, images, videos, messages, comments, ratings, reviews and other original content you provide on or through the Site.


21. Moral Rights

Sociallygood and our service providers, members, users and licensees may use, copy, display and transmit your user name in connection with any or all of Your Content if Sociallygood or the service providers, members, users or licensees wish to do so.


22. Monitoring and Disclosure

Sociallygood cannot monitor everything on the Site and does not normally monitor your use of the Services; however, Sociallygood and our representatives may do so. We reserve the right (but have no obligation) to remove, delete, edit or reclassify content that we determine, in our sole discretion, is objectionable for any reason. We will not have any liability for any failure to remove, or delay in removing, any content. We may disclose any information that is necessary to satisfy any law, regulation or lawful request or as necessary to operate the Services or to protect the rights or property of itself or others that are directly related to providing the Services. If you notice any inappropriate content on the Site, please contact us.


23. Infringement Claims

If you believe that any content that another user posts on the Site infringes your rights, you may send us a written notice that:

(a) sets out your name and address;
(b) identifies the material on the Site that you claim is infringing your rights;
(c) identifies your work or other subject-matter that you claim is being infringed, and states your interest or right with respect to the copyright in that work or subject-matter;
(d) specifies the location data for the material that you claim is infringing your rights;
(e) specifies the date and time of the commission of the claimed infringement;
Upon receiving your written notice and your payment of any fee that we may lawfully charge we will:
(a) forward the notice electronically as soon as feasible to the person who posted the content to which your claim relates; and
(b) inform you that the notice has been forwarded (or, if applicable, the reason why it was not possible to forward it).
We do not have any other obligations or liability regarding any allegedly infringing activities by third parties on our Site.


24. Use of the Services

You must not:
(a) reverse engineer, de-compile, hack, disable, disrupt, interfere with, disassemble, copy, decrypt, reassemble, supplement, translate, adapt or enhance any of the Sociallygood Property or the Services;
(b) create a link, name or label, or otherwise upload to or transmit from the Site or the Services any content, link or anything else that (if reproduced, published, transmitted or used) may:
be defamatory, threatening, abusive, harassing, hateful, obscene, pornographic, harmful or invasive of anyone’s privacy, or excessively violent,
violate any law including intellectual property, privacy or other laws;
impersonate any person;
give rise to civil or other liability; or
relate to illegal drugs, weapons, gambling or other illegal activities;
(c) upload to or transmit from the Site or the Services any data, file, software or link that contains or redirects to a virus, Trojan horse, worm or other harmful component;
(d) use the Site or the Services to do or attempt to do any of the following without SociallyGood’s prior written permission;

  • send spam or other bulk messages;
  • gain unauthorized access to any data, network or system;
  • conduct or promote any commercial activity;
  • monitor data or traffic on any network or system;
  • obtain an email address, user name or other information about a third party without their consent;
  • use any misleading, false or deceptive TCP/IP header information in any email or posting; or
  • conduct or instigate any denial of service attack against SociallyGood’s website or network, or any third party’s website or network;


(e) improperly make complaints or false reports on the Site;
(f) artificially inflate or alter ratings, views or statistics on the Site;
(g) falsify any data or information available on the Site;
(h) delete or modify any copyright or other intellectual property notices on the Site;
(i) sell or transfer your the Site account, or allow any third party to access or use it;
(j) avoid, circumvent, or disable any access control technology, security device, procedure, protocol, or technological protection mechanism that may be included or established in or as part of any of the Site or the Services or any hardware/software used to provide the Site or the Services, or third party hardware/software or services;
(k) interfere with the Services or any third party’s use of the Site or the Services;
(l) resell any of SociallyGood’s services or allow any third party to use or access the Site or the Services without SociallyGood’s prior written consent; or
(m) authorize or encourage any third party to do any of the above


25. Remedies

In addition to any other available remedies, upon breach of any of your obligations under this Agreement Sociallygood may suspend or terminate the Services and your the Site account.


26. Terms of Other Services

If you use any other service or software provided by or through Sociallygood or the Services, you must comply with all terms and conditions that are imposed upon your use of that service or software.


27. Modifications

From time to time, Sociallygood may add new features to the Site and the Services, remove existing features from the Site and the Services, or otherwise modify the Site and the Services (including their functionality, “look-and-feel”, universal resource locators and software components).


28. Inactive and Abandoned Accounts

If you do not log into your account for any period of at least 365 consecutive calendar days, your account may be deemed “Inactive”. We may, in our sole discretion, suspend or terminate your account and membership if it becomes inactive.


29. Links from the Site

The sites that are linked from the Site are not under our control, and we do not assume any responsibility or liability for any communications or materials available at those linked sites, or personal information collected about you from those sites. You may be charged fees to access or use the linked sites; these fees are not covered by any fees you pay to Sociallygood. All links are provided for your convenience only; they are not an endorsement or referral by us.


30. Disclaimer

THE SITE, THE SOCIALLYGOOD CONTENT, THE SOCIALLYGOOD TOOLS AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. SOCIALLYGOOD DISCLAIMS ALL TERMS, CONDITIONS, GUARANTEES, REPRESENTATIONS AND WARRANTIES (EXPRESS, IMPLIED, STATUTORY AND OTHERWISE), IN RESPECT OF THE SITE, THE SOCIALLYGOOD CONTENT, THE SOCIALLYGOOD TOOLS AND THE SERVICES, INCLUDING THOSE OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, QUALITY AND FITNESS FOR A PARTICULAR PURPOSE.


31. Limitation of Liability

YOU USE THE SITE, THE SOCIALLYGOOD CONTENT, THE SOCIALLYGOOD TOOLS AND THE SERVICES AT YOUR OWN RISK. SOCIALLYGOOD WILL NOT BE LIABLE FOR ANY LOSS IN CONNECTION TO THE USE OF, OR INABILITY TO USE, THE SITE, THE SOCIALLYGOOD CONTENT, THE SOCIALLYGOOD TOOLS AND THE SERVICES, INCLUDING ANY LOSS TO YOUR CONTENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND WITHOUT LIMITING THE PREVIOUS SENTENCE, SOCIALLYGOOD WILL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES OR LOST PROFITS WHATSOEVER IN CONNECTION WITH THE SITE, THE SOCIALLYGOOD CONTENT, THE SOCIALLYGOOD TOOLS OR THE SERVICES.


32. Maximum Liability

We will make a reasonable effort to ensure that personal information we are using or disclosing is accurate and complete. 33. Indemnity

YOU WILL INDEMNIFY SOCIALLYGOOD AND ITS AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, REPRESENTATIVES, LICENSORS AND LICENSEES (COLLECTIVELY, THE “INDEMNITEES”) AND HOLD THE INDEMNITIES HARMLESS FROM AND AGAINST ALL DAMAGES, INJURIES, LIABILITIES, COSTS, EXPENSES AND LEGAL FEES THAT ANY OF THEM MAY INCUR IN CONNECTION WITH:

(A) YOUR CONTENT, INCLUDING CLAIMS THAT YOUR CONTENT OR THE EXPLOITATION OF IT AS PERMITTED BY THIS AGREEMENT INFRINGES OR VIOLATES THE RIGHTS OF ANY THIRD PARTY;
(B) YOUR USE OF THE SITE, THE SOCIALLYGOOD CONTENT, THE SOCIALLYGOOD TOOLS OR THE SERVICES; OR
(C) THE UNTRUTHFULNESS OR INACCURACY OF ANY OF YOUR REPRESENTATIONS OR WARRANTIES TO US; OR
(D) YOUR BREACH OF ANY OBLIGATION, REPRESENTATION OR WARRANTY IN THIS AGREEMENT.


34. Modifications to this Agreement

From time to time in our sole discretion Sociallygood may modify the terms of this Agreement by posting the modifications on the Site. You will be bound by the modified terms after the modified terms have been emailed to you or have been posted on the Site for 30 days.


35. Governing law

Sociallygood operates from Bangalore, India, and makes no representation that the Site is appropriate or available for use in any particular jurisdiction. This Agreement will be governed by the laws in effect in Karnataka, India. You attorn to the exclusive jurisdiction of the Bangalore courts; however, you or Sociallygood may apply to a court of competent jurisdiction for interim protection or equitable relief such as an injunction.


36.Disputes with other users

You are solely responsible for resolving any disputes you may have with other Site users. Sociallygood may, but is not obligated to, assist you with this. Sociallygood will have no liability whatsoever to you in connection with any such dispute, regardless of whether or not Sociallygood assists you with that dispute.


37. Email Lists

We send periodic emails that contain website feature updates and new projects that in our opinion may be exciting for you. We may send emails to all our users about updates to the Site even if they did not subscribe to the Site Newsletter. At any point in time you may request to unsubscribe to these emails by emailing feedback@sociallygood.com


38. Unforeseen Circumstances

In the event that we or any of our assets are acquired by a third party, personal information acquired by us may be one of the assets transferred in such acquisition.


39. Changes

We may change this Policy at any time by posting the revised policy on our website. Please check our website regularly for these changes.


40. Complaints

Upon your request, we will provide information regarding our complaint procedures. Any inquiries, complaints or questions regarding this policy or our compliance with privacy legislation should be directed in writing to us.
